Aon South Africa is recruiting an expert South African Company Secretary to join our global corporate secretary team out of Johannesburg!

What The Day Will Look Like

A great opportunity to work in a team-oriented financial environment with a diverse range of dedicated and collaborative colleagues across the world in Aon’s Legal & Compliance and finance departments and alongside the business.

The Work Includes The Following Activities:

Act as the Company Secretary to Boards and Committees and provide company secretarial services, corporate governance and regulatory support to Aon South Africa.

Support with the organisation of Board and Committee meetings, preparing agendas and meeting packs, drafting Board papers and resolutions, and attending and minuting Board and Committee meetings.

Provide guidance and support to management and directors on corporate governance good practice and statutory compliance.

Seek efficiencies, consistency and best practice in the running of Boards and Committees, taking into account guidance and templates from the UK and Ireland company secretaries.

Ensure that the corporate governance and administration of Aon South Africa complies with all applicable statutory and regulatory requirements and filings, governance standards, internal polices as procedures.

Contributing to meeting discussions as and when required and advising members of the statutory and governance implications of proposed policies and actions.

Assist with the production of Aon South Africa’s Annual Financial Statements.

Maintain corporate records for Aon South Africa, including statutory registers and external registers, using Aon’s internal entity management system (EntityOps) but also other applications such as excel spreadsheets, Diligent, Secretariat and SharePoint.

Work closely with our on the UK and Ireland Company Secretarial teams on all corporate governance and company secretarial matters, as well as with our outsourced Company Secretarial Firm to ensure statutory filings are completed on time.

Attend to day issues as required, including the provision of corporate information, execution of corporate representative documentation and searches for subsidiaries, the drafting and issue of powers of attorney and the notarization of documentation.

Assist on various local and global projects where Company Secretariat involvement is required

Work closely with local Senior Management and Board members (including our external shareholders) as well as the Aon colleagues locally and worldwide.

Attend regular meetings with the global secretarial teams to learn, update and develop the Aon formats and best practices for the best board support.

This is your chance to join our worldwide legal & compliance team out of our office in Johannesburg to further built and develop our governance framework in South Africa. A unique position, where you will have the support, templates and knowledge from our company secretary specialists in London, Ireland, Netherlands and Krakow. This role reports into the very experience head of company secretary based in London and sits together with the Legal & Compliance colleagues in Johannesburg.

You can really make a difference with your work and available corporate information to the Aon colleagues from different (support) functions that you closely work with.

Skills And Experience That Will Lead To Success

Qualifications.

  • Be in possession of Grade 12 (Matric).
  • A degree would be an advantage.
  • CGISA qualified/ or part qualified and completing soon

Knowledge.

  • A good working knowledge of company secretarial laws and corporate governance standards.

Skills And Attributes.

  • Good communication, influencing, organisational and administrative skills
  • A proven team player with good communication skills, that has the ability to work with your own initiative and collaboratively with internal and international teams
  • IT literate and familiarity with legal entity management systems would be beneficial
  • High ethical standards and understanding of confidentiality and discretion when handling confidential information
  • Ability to prioritise workload and deliver to multiple deadlines
  • Accuracy and attention to detail

Experience.

  • Demonstrated ability in a similar company secretarial role, ideally in the financial service sector is desirable
  • A good working knowledge of company secretarial laws and corporate governance standards
  • Having worked in the Financial Services sector would be an advantage for the role.
