High-Level Overview

Client:
The Client is a leading independent power producer (IPP) focused on building and operating power projects across Africa.

Project:
The Client is seeking a highly experienced and proactive Transaction Manager to oversee the sale and strategic exit of a power asset. This individual will serve as the central coordinator and operational leader of the transaction, interfacing with both internal teams (legal, finance, and executive leadership) and external advisors (transaction team, legal counsel, buyers, government stakeholders). The role is expected to last approximately 6–12 months.
A buyer has been identified, and a process letter is in motion, with a transaction close targeted within 6–12 months.

Key Deliverables:
  • Oversee the day-to-day execution of the asset sale, including scheduling, document flow, approvals, and stakeholder coordination. Track and enforce the transaction timeline, from exclusivity through to closing.
  • Prepare and circulate weekly executive summaries and transaction updates for senior leadership. Maintain a deal dashboard tracking critical milestones, risks, and dependencies.
  • Liaise directly with internal legal and finance teams, country manager, transaction team, external legal counsel, buyer representatives, and government stakeholders. Coordinate site visits and key meetings.
  • Manage the flow of key documents including the Share Purchase Agreement (SPA), concession termination mechanisms, and regulatory approvals. Ensure internal review processes, version control, and deadlines are met.
  • Track optionality around exit mechanisms, including concession enforcement strategies. Ensure relevant documentation and discussion tracks are prepared for potential contingencies.
  • Build and maintain a central repository of documents, decisions, and communication logs. Provide a handover and closeout package for internal stakeholders post-transaction.

Requirements

Experience Required:
  • 8+ years in infrastructure transactions, preferably within energy or utilities.
  • Prior experience managing M&A or divestitures in emerging markets.
  • Familiarity with distressed or special situations, ideally in public-private or regulated sectors.
  • Strong working knowledge of equity ownership models, project agreements, and deal structuring.
  • Experience in multi-party, cross-border transaction environments (especially involving legal, financial, and operational teams)
Technical Requirements:
  • Familiarity with project finance principles, particularly in the context of independent power projects and infrastructure assets.
  • Understanding of concessional finance instruments and development finance structures commonly used in emerging markets.
  • Strong understanding of transaction mechanics: due diligence, documentation, closings.
  • Comfortable reviewing and coordinating legal and commercial documents.
Other Skills:
  • Fluent in French and English (written and verbal).
  • Process-driven, self-starting, and highly organized.
  • Confident communicator, able to simplify complex issues for executive stakeholders.
  • Adept at managing competing priorities across regions and time zones.
  • Operates well under pressure with limited oversight, strong follow-through.
  • Strong virtual collaboration and reporting skills.
Working Engagement
Location: Flexible/remote but must work within the CET time zone.
Travel requirements: Moderate but essential.
Operational requirements: Fluent in English and French
