GRS Junior Legal Counsel

An exciting opportunity is available for a professional and proactive Junior Legal Counsel to join the Gransolar Group in Cape Town, Western Cape. We are looking for well-organised individual to provide proactive legal support across all business units and project phases, with a strong focus on negotiation, drafting, and risk management, while ensuring compliance and enabling effective collaboration across the department.
Contractual Expertise
-Providing contractual expertise during the pre-contract, and project delivery stages across all business units.
-Draft, review, negotiate, and conclude a wide range of contracts (confidentiality agreements, MoUs, partnership agreements, shareholders agreements, EPC contracts, O&M agreements, SLAs, land agreements, project finance agreements).
-Provide commercial and legal input into bid strategies, tenders, and quotations.
-Develop and maintain contract obligation matrices, ensuring they are coordinated with and communicated to all relevant departments. The Legal Counsel will also be responsible for educating and guiding those departments on the content of the contracts and the matrix, so obligations are clearly understood and consistently implemented.
-Develop & Maintain Annual Plan for contracts management across various units.
-Manage disputes, variations, and claims, including preparation of dossiers and coordination with external counsel.
-Conduct regular audits of contract compliance and risk controls.
-Ensure tenders, quotations and contracts include contract terms and conditions which suitably protect GRS interests and are in accordance with GRS’s policies, procedures and guidelines.
-Observance of contractual Governing Law, local law requirements in terms of HSE and local content and permitting.
-Managing the finishing and the economic settlement of the contract (“close-out”).
Negotiation and Drafting
-Act as lead negotiator in high‑value and complex transactions, securing concessions while protecting company interests.
-Draft precise, enforceable agreements under time pressure, ensuring clarity and consistency across subcontracts and supplier agreements.
-Prepare persuasive correspondence, change orders, and claims documentation.
-Negotiate settlements and commercial arrangements with clients, subcontractors, and service providers.
-Provide lead guidance & coordination of the negotiation and finalization of Contract terms and conditions, consistent with bid risk profile.
-Assist in the preparation of first drafts of the (i) subcontracts for services with local subcontractors, (ii) supply contracts for the equipment of the Plant (both equipment to be purchased within South Africa, and outside South Africa), in back-to-back conditions with respect to the EPC and O&M Contracts.
-To assist the procurement team with the negotiation (including meetings with the counterparties, etc.) and closing of such contracts.
-Effectively resolving Contractual disputes.
-Monitoring and supporting claims under judicial or arbitration proceedings, assisting the appointed legal counsels.
Legal Advisory
-Provide legal opinions, research, and advice on contracts, corporate structures, and compliance. -Liaise with external counsel where specialist input is required.
-Support governance processes, including board meetings, resolutions, and corporate records.
Business Development Support
-Review contractual obligations in tender enquiries (EOI, RFI, RFP, RFQ).
-Advise on legal and commercial risks in new ventures and partnerships.
-Assist in structuring business units and drafting related agreements.
Departmental Liaison & Ad Hoc Support
-Collaborate across Legal, Business Development, Operations, and Project teams to ensure seamless execution.
-Planning and design of the contractual management strategy together with the Project Director.
-Provide assistance on HR and LR communications where required.
-Handle general administration and ad hoc legal tasks.
-Act as a flexible resource, supporting colleagues across the department without limiting scope to negotiation alone.
-Qualification: Law Degree(LLB or Equivalent)
-Experience: 3-6 years post qualification experience in corporate/commercial law, with proven track record in negotiation and drafting. Preference for candidates with exposure to renewable energy or infrastructure projects.
-Language: Advanced English C1 level
-Other requirements: Knowledge of contract. Understanding of operational and financial risks. Strong negotiation and drafting skills. Knowledge of purchasing, manufacturing, and project delivery environments. Familiarity with REIPPP, BBBEE and South African regulatory frameworks.
