Job Specification – Corporate Commercial Lawyer (8+ years PQE)

Location: Johannesburg or Cape Town

Reporting to:– Corporate & Regulatory Insurance Practice

The Client seeks a highly experienced and ambitious Corporate Commercial Lawyer with 8+ years PQE to join our Corporate & Regulatory Insurance team. The ideal candidate will bring deep expertise in corporate transactions, commercial matters and financial services regulation, and insurance law, with proven ability to manage complex, multi-jurisdictional matters.

This role requires a strong balance of technical excellence, client relationship management, and leadership capability, positioning the candidate as a future leader within the practice.

• Advise clients on structuring, negotiating, and documenting complex corporate and commercial transactions, including M&A, joint ventures, strategic alliances, and portfolio transfers.
• Draft and negotiate a wide range of commercial contracts (supply, distribution, agency, licensing, services, binder, intermediary, outsourcing, and technology agreements).
• Provide regulatory advice on insurance and reinsurance licensing, intermediary regulation, and compliance with South African financial services legislation.
• Mentor junior lawyers and contribute to succession planning within the practice.
• Engage in business development initiatives, strengthening client relationships and contributing to the firm’s growth strategy.

• Admitted Attorney in the High Court of South Africa.
• Minimum of 8 years PQE in commercial, corporate, and regulatory law.
• Demonstrated expertise in insurance and reinsurance law, financial services regulation, and corporate transactions, with the ability to advise on prudential requirements, policy wordings in the insurance sector, insurance-linked transactions, and corporate insurance arrangements.
• Strong academic credentials (LLB required; LLM or equivalent postgraduate qualification preferred).
• Excellent drafting, analytical, and negotiation skills.
• Ability to manage multiple complex projects under tight deadlines
