Job Overview
We are seeking a driven and detail-oriented
Legal Counsel Professional to join a lean, high-performing in-house Legal department servicing multiple entities across the Southern Africa Region. Reporting to the Legal Counsel Senior Manager – SAZ Region, you will play a key role in delivering superior legal services to stakeholders across the business, while upholding the values of efficiency, resourcefulness, tenacity, innovation, mutual respect, and teamwork.
This is an excellent opportunity for a qualified attorney with a strong foundation in corporate and commercial law to gain exposure to a fast-paced, multinational logistics and operations environment.
Minimum Requirements
- Essential:
- LLB Degree.
- Admission as an Attorney of the High Court of South Africa.
- Completed articles of clerkship in a law firm setting.
- Minimum 2 years' experience in a corporate legal environment.
- Experience across the litigation lifecycle, preparing legal opinions, conducting gap analyses, and handling corporate governance matters (resolutions, board packs, etc.).
- Advantageous:
- Master's Degree.
- Certification in shipping and logistics, corporate law, and/or insurance law.
- Experience in a fast-paced, multinational or logistics/operations environment.
- Experience supporting a large, multi-location organisation.
- Mergers and acquisitions experience.
Key Responsibilities
- Review, negotiate, and draft customer, supplier, and stakeholder agreements, including NDAs, vendor and transporter agreements, with a focus on risk mitigation.
- Draft powers of attorney, mandate letters, and initial drafts of bespoke agreements for review.
- Support corporate governance across the region, including preparing board packs, resolutions, meeting notices, and maintaining accurate corporate records.
- Attend and minute shareholder, board, and board sub-committee meetings.
- Manage and support litigation matters, including liaising with and briefing external legal counsel, drafting letters of demand, and reviewing pleadings.
- Assist in building and maintaining a compliance universe document and related compliance matrices to ensure adherence to applicable laws.
- Support group reorganisation, mergers, and acquisition projects, including drafting term sheets, MOUs, and ancillary documents.
- Conduct legal research and prepare legal opinions, memoranda, and notices for internal stakeholders.
- Maintain up-to-date, well-organised legal and corporate records across internal and global platforms.
- Provide general legal and administrative support, including document dispatch, DocuSign coordination, and litigation reporting.
