Commercial & Trade Legal Consultant (Fixed-Fee Project & Strategic Retainer)
Mujopa Supply
About Mujopa Supply Chain Solutions Limited
Mujopa Supply Chain Solutions Limited is a dual-registered supply chain management and B2B distribution firm operating across the South Africa–Zambia trade corridor, with headquarters in Lusaka.
We bridge the gap between regional manufacturers and Zambian commercial enterprises, engineering and construction contractors, and multi-branch retail chains. Rather than operating as a traditional wholesale trader, Mujopa provides integrated Procurement-as-a-Service (PaaS), tail-spend consolidation, and Vendor Managed Inventory (VMI) solutions. By managing the end-to-end supply chain—from cross-border freight consolidation and customs clearance to point-of-use inventory management—we enable our clients to eliminate stockouts, streamline vendor administration, and optimize working capital.
The Opportunity: Strategic Legal Partner
As we expand our enterprise and retail client portfolio in Zambia, we are seeking an experienced Corporate Commercial & Trade Legal Specialist (either an independent senior practitioner, fractional general counsel, or boutique commercial firm partner) to architect our standardized Commercial Contract Playbook.
Note: This is not a full-time in-house salaried position, nor is it a litigation or banking compliance role. This is a fixed-fee project engagement to draft a modular suite of commercial supply chain agreements, with the opportunity to transition into our long-term Fractional Legal Partner for deal-by-deal contract redlining and execution.
Scope of Work (Fixed-Fee Deliverable Suite)
The selected Legal Partner will work directly with the CEO and Board of Directors to draft, localize (under Zambian law and SADC cross-border trade frameworks), and finalize a clean, commercial-friendly suite of four (4) core modular templates:
Mutual Diagnostic & Data Protection NDA:
Governing the secure exchange of enterprise ERP purchasing data, bills of materials, and proprietary supply chain analytics during client discovery audits.
Master Supply & Services Agreement (MSSA):
A modular B2B framework covering outsourced procurement management, consolidated billing mechanics, Service Level Agreement (SLA) performance KPIs, non-circumvention/supplier protection covenants, and strict consequential liability caps.
Vendor Managed Inventory (VMI) & Consignment Schedule (Industrial & Retail):
Governing inventory placed at client project sites, warehouses, or retail shelves.
Structuring clear title-transfer triggers (consumption or Point-of-Sale scan), shrinkage and stock-loss liability thresholds, slow-moving/obsolete stock (SLOB) buyback obligations, and statutory protection of our ownership rights under the Movable Property (Security Interest) Act (PACRA Collateral Registry) against third-party creditors or landlords.
Standardizing quality assurance, OEM warranty pass-throughs, Incoterms 2020 delivery obligations, and SADC Rules of Origin compliance with our South African and international manufacturers.
Candidate / Partner Requirements
To be considered, you must demonstrate practical experience in real-economy B2B commercial transactions:
Qualification: Admitted Legal Practitioner (Advocate of the High Court for Zambia) with at least 5–10+ years of post-qualification experience in Corporate & Commercial Law. (Dual regional exposure across Zambia and South Africa is a distinct advantage).
Sector Background: Proven track record drafting commercial contracts for supply chain, logistics, FMCG/retail distribution, manufacturing, mining services, or construction/engineering sectors.
Secured Transactions Mastery: Practical familiarity with Reservation of Title (ROT) clauses, consignment structures, and perfecting security interests over movable inventory via PACRA’s Movable Property Registry System.
Commercial Pragmatism: Ability to write concise, modular contracts (8–12 pages plus operational schedules) that protect company assets while accelerating—rather than stalling—enterprise B2B sales cycles.
Please Note: Candidates whose experience is limited strictly to courtroom litigation, conveyancing, family law, or internal bank KYC/LC processing will not be shortlisted.
How to Apply / Submit a Proposal
Interested legal practitioners or boutique commercial partners should submit a brief expression of interest to ***email_hidden*** with the subject line: "Strategic Legal Partner – Commercial Playbook" including:

A Brief Cover Note (max 1 page) outlining your experience structuring consignment/VMI security or B2B distribution agreements in Zambia.
Indicative Fee Structure: Confirm your comfort working on a capped, fixed-fee project basis for the 4-document suite (final pricing to be agreed following a 20-minute scoping call with our CEO).
