Senior Legal Advisor

About the Role

We are seeking an experienced Senior Legal Advisor to join our Legal team within a dynamic ICT and technology distribution environment. This role is responsible for providing strategic legal guidance, commercial contract support, corporate governance oversight, regulatory compliance advice, and risk management across multiple business entities.

Reporting to the Head of Group Legal and working closely with executive leadership, the successful candidate will act as a trusted legal advisor, ensuring business objectives are achieved while managing legal and regulatory risk.

Key Responsibilities

Commercial Contracts & Legal Advisory

• Draft, review, negotiate, and manage a wide range of commercial agreements, including:
  • Customer agreements and credit applications
  • Vendor and supplier agreements
  • Distribution agreements
  • Reseller and partner agreements
  • Non-Disclosure Agreements (NDAs)
  • Back-to-back contracts
  • Software licensing agreements
  • Standard terms and conditions and legal templates
• Provide practical legal advice to business stakeholders across various functions.
• Identify contractual and legal risks and recommend appropriate mitigation measures.
• Support complex commercial negotiations and business transactions.

Vendor & Partner Management

• Support negotiations with global technology vendors and strategic partners.
• Review and advise on vendor terms, distribution arrangements, and channel partner obligations.
• Provide legal guidance on software licensing, intellectual property, and technology-related matters.

Corporate Governance & Compliance

• Ensure compliance with applicable legislation, regulations, and governance standards.
• Develop, implement, and maintain legal policies, procedures, and governance frameworks.
• Monitor legislative developments and advise leadership on implications and required actions.
• Support board, executive, and corporate governance requirements where necessary.

Risk Management & Dispute Resolution

• Identify, assess, and mitigate legal and commercial risks across the business.
• Manage legal disputes, claims, and litigation matters.
• Liaise with external legal counsel and specialist advisors when required.
• Develop risk management strategies aligned with organisational objectives.

Regulatory Compliance

• Advise on:
  • POPIA and data privacy requirements
  • Contract law
  • Company law
  • Competition law
  • Labour-related legal matters
  • Other applicable regulatory frameworks
• Support audits, compliance reviews, and internal investigations.
• Drive legal and compliance initiatives across business units.

Stakeholder Management

• Provide legal training and guidance to management and employees.
• Partner with Sales, Finance, Procurement, HR, and Operations teams on legal and compliance matters.
• Support strategic projects, acquisitions, partnerships, and other business initiatives.

Minimum Requirements

Qualifications

• LLB or BCom Law Degree (Essential)
• Admitted Attorney (Preferred)
• Postgraduate legal qualification advantageous

Experience

• Minimum 8 years' post-admission legal experience.
• Experience within ICT, Technology, Telecommunications, Software, Distribution, or a related commercial environment. (Preferred) 
• Proven experience drafting, reviewing, and negotiating complex commercial agreements.
• Strong knowledge of corporate governance, risk management, and regulatory compliance.
• Experience engaging with executive leadership, boards, and external legal counsel.
• Experience supporting commercial transactions, vendor negotiations, and technology-related contracts.
